Terms of Service

By accessing or using Clovet ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These Terms apply to all users, including licensed professionals ("Partners") and consumers (buyers, sellers, and lead inquirers).

Clovet is a real estate closing coordination platform operated by Shaban Asif, Esq. The Platform connects consumers with licensed real estate professionals, coordinates title and closing services, and provides transaction management tools. Clovet itself does not act as a real estate broker or agent.

Partners must hold all required licenses, certifications, and insurance required by New York State for their profession. By registering as a Partner, you represent and warrant that: (a) you are licensed to practice in New York, (b) you will maintain active licensure throughout your use of the Platform, (c) all information provided during registration is accurate and current, and (d) you will comply with all applicable professional conduct rules, RESPA, and fair housing laws.

Leads are routed to Partners based on platform activity, geographic coverage, lead acceptance history, and availability. Lead routing is automatic and at the sole discretion of the Platform. Partners must: (a) respond to assigned leads within 2 hours or the lead will be reassigned, (b) contact leads professionally and in compliance with all applicable laws including the Telephone Consumer Protection Act (TCPA), (c) not share lead information with third parties outside the transaction, and (d) report any lead disputes or quality issues to the Platform promptly.

Partners and transaction parties may be charged fees for Platform services, including but not limited to title coordination, closing services, document preparation, and the Clovet platform fee. Fees are disclosed at the time of deal submission or checkout. All fees are non-refundable unless otherwise agreed in writing. Payments are processed by Stripe; by completing a payment, you also agree to Stripe's terms of service. For ACH payments, the 2-hour ACH standard applies; a return fee may apply for failed ACH transfers.

Clovet is operated by Shaban Asif, Esq., who also operates affiliated entities providing closing, title, and homeowner's insurance services. In accordance with the Real Estate Settlement Procedures Act (RESPA) and applicable New York law, the following disclosure is made to all Partners and their clients:

Affiliated Services: When you submit or process a transaction through Clovet, closing coordination is performed by Shaban Asif, Esq. (closing attorney), title is coordinated through Clovet's title services, and homeowner's insurance is introduced through Clovet's preferred insurance partner. Shaban Asif has a financial interest in these affiliated entities.

Your Right to Choose: You are not required to use these affiliated services as a condition of federal mortgage loan eligibility. However, as a condition of platform participation, Partners agree to submit transactions through Clovet's integrated closing and title workflow, which constitutes the platform's core service. You may opt out of Clovet's insurance introduction at any time by notifying Clovet in writing before closing.

Estimated Charges: Closing fees, title premiums, and insurance premiums will be disclosed at deal submission and in the Closing Disclosure. These fees are set at market rates and are not inflated as a result of the affiliated relationship.

Conflict Disclosure (Attorneys): Attorney Partners acknowledge that Shaban Asif, Esq. has a financial interest in the title services used on every file managed through the Platform. By using the Platform, Attorney Partners consent to this structure on behalf of their practice and agree to provide their own clients with appropriate conflict disclosure under the New York Rules of Professional Conduct.

By submitting a deal or creating a Partner account, you acknowledge receipt of this Affiliated Business Arrangement disclosure and consent to the integrated service structure described above.

Clovet operates in compliance with the Real Estate Settlement Procedures Act (RESPA). No referral fees, kickbacks, or unearned fees are paid or accepted. All fees charged by the Platform represent actual services rendered. Partners are prohibited from offering or accepting compensation conditioned solely on a referral in violation of RESPA Section 8.

Users may not: (a) misrepresent credentials, licensure, or identity, (b) use the Platform to facilitate illegal transactions, (c) share, resell, or export lead data, (d) reverse engineer or scrape the Platform, (e) circumvent Platform fee structures by completing transactions introduced through the Platform outside the Platform, or (f) use the Platform in any manner that violates applicable law.

Any dispute arising from use of the Platform shall first be submitted through the Platform's dispute system for resolution by the Platform administrator. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Nassau County, New York, under the rules of the American Arbitration Association. Nothing herein prevents either party from seeking emergency equitable relief in a court of competent jurisdiction.

The Platform is provided "as is" without warranties of any kind, express or implied. Clovet does not guarantee the accuracy of title searches, flood zone assessments, revenue projections, or market intelligence provided through the Platform. All closing decisions remain the responsibility of the licensed professionals conducting the transaction.

To the maximum extent permitted by law, Clovet's total liability to any user for any claim arising from use of the Platform shall not exceed the fees paid by that user to Clovet in the 12 months preceding the claim. Clovet shall not be liable for indirect, incidental, consequential, or punitive damages.

Clovet reserves the right to suspend or terminate any Partner account for: (a) failure to maintain active professional licensure, (b) violation of these Terms, (c) professional misconduct complaints, (d) low platform activity, or (e) at the Platform's sole discretion with or without notice. Suspended Partners may not access leads, portal features, or the partner directory.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Venue for any legal proceedings shall be in Nassau County, New York.

We may update these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance. We will provide notice of material changes via email to registered Partners.
